| 本文深入考察了美国BIT 和FTA 负面清单的发展和演变过程，分析了两类协议负面
清单的关联性和差异性。经过30 多年的演变，美国的负面清单日益简洁和明确，新
一代负面清单的政策透明度大大提高。美国BIT 和FTA 负面清单形式和内容的演进
具有很强的关联性。目前，两类协议负面清单最主要的差异在于FTA 增加了针对服
务贸易的限制，包括在负面清单中增加涉及服务贸易的不符措施和在同一不符措施
中增加涉及服务贸易的条款。在上述分析的基础上，本文从立法模式、立法内容和
制度体系3 个方面总结了美国负面清单管理制度可供中国借鉴的经验。 |

| The Relevances and Differences between the Negative Lists of U.S. BITs and FTAs |

| Abstract: |
| This paper studies the changing and evolution process of the negative lists in U.S. BITs and FTAs, and investigates the relevances and differences of the negative lists of the two kinds of agreements. After more than 30 years of development, the U.S. negative lists are getting more and more concrete and concise. The policy transparency of the new generation of negative lists is also highly improved. The negative lists of BITs and FTAs are highly consistent both in forms and in contents, but the most important difference is the negative lists of FTAs have extra restrictions on services trade. The negative lists of FTAs have a few extra non-conforming measures on services trade and some extra clauses on the non-conforming measures concerning services trade. Based on the above analysis, this paper summarizes the experiences from the U.S. negative list regime, and some policy implications on legislation mode, legislation content and institutional system building for China’s negative list mode reform. |
